Dublin, Ireland 8 March 2023 International Renewable Independent Power Producer (IPP) Alternus Energy Group Plc (OSE: ALT) (“Alternus” or the “Company”) today wishes to provide the following update in relation to the announcement issued on 1 March 2023 regarding the compliance report for its wholly owned subsidiary, Solis Bond Company DAC (“Solis”), for the year ended 31 December 2022.
Executive management and the Board of Directors of Alternus consider this matter to be extremely serious and we are actively engaging with the bondholders to come to agreement on a timely process for resolution. Discussions related to temporary waivers of the covenants have commenced with a representative group of the bondholders, and are scheduled to last for up to two weeks. Alternus plans to issue an update in relation to this process by 21 March 2023, or earlier should a resolution be agreed to prior to that time.
In the meantime, it is important that investors in Alternus stock, and our project-level bonds, are aware that Solis’ business operations are unaffected and Solis continues to generate positive EBITDA and cashflows that allow it to make its scheduled payments under the bond terms. In addition, and in accordance with the requirements of the bond terms, a third-party expert valuation report has been issued to the Bond Trustee. This report demonstrates that the current value of the Solis’ assets exceeds related indebtedness by approximately €25 to €30 million.
The Company has also received various enquires relating to its other business activities and initiatives underway. In addressing these queries, Alternus can confirm that the business combination with Clean Earth (NASDAQ: CLIN) is progressing as previously announced with a target to complete in Q2 2023. Also, the Company’s other debt facilities, and as previously announced, remain in place and available to support other projects and group operations.
